Terms of Service
Last updated: October 15, 2026
1. The Agreement
These Terms of Service ("Terms") are an agreement between Tare Logistics LLC ("Tare," "we," "us," or "our") and the business that subscribes to Tare (the "Customer"). They govern access to and use of the Tare website at trytare.com, the Tare web application, the Tare mobile application, Tare's APIs and connectors, and related services (together, the "Service").
If you use the Service on behalf of a business, you agree to these Terms for that business and confirm you are authorized to do so. If the Customer and Tare have signed a separate order form or agreement, that document controls where it conflicts with these Terms.
Our Privacy Policy explains how we collect, use, and share information and is part of these Terms.
2. Accounts, Users, and Authority
- Users. The Customer may invite its employees and contractors ("Users") to the Service. Users must be at least 18 years old and authorized by the Customer. Users act on the Customer's behalf, and the Customer is responsible for their use of the Service.
- Administrators. The Customer's administrators control which Users have access, the roles and permissions they receive, and the Customer's settings and data. We follow administrators' instructions about the Customer's account.
- Actions in the Service bind the Customer. Approvals and actions Users take in the Service, including approving invoices, sending purchase orders to suppliers, posting bills to accounting software, changing inventory records, and approving actions proposed by the assistant, are taken on the Customer's behalf.
- Credentials. Keep sign-in credentials confidential and do not share accounts. Tell us right away at support@trytare.com if you believe an account has been compromised. You are responsible for activity under your account.
- Account deletion. You may request deletion of your account or personal data through the methods in our Privacy Policy, including the data deletion request form.
3. Customer Data
"Customer Data" means the information, files, and content that the Customer and its Users put into the Service or that the Service imports from systems the Customer connects, such as inventory records, invoices, recipes, sales, and employee and guest records from a point-of-sale (POS) system.
- Ownership. As between the Customer and Tare, the Customer owns Customer Data.
- License to Tare. The Customer grants Tare a non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, modify, and display Customer Data as needed to provide, secure, support, and improve the Service, including through the service providers and AI providers described in our Privacy Policy.
- Tare's role for personal data. For personal data about the Customer's employees, guests, and suppliers, Tare acts as the Customer's service provider (processor) and processes it only to provide the Service and as these Terms allow.
- Customer responsibilities. The Customer is responsible for having the rights and lawful basis to give us Customer Data, including employee and guest data imported from its POS, and for giving any notices and obtaining any consents its employees, guests, or others need.
- Aggregated and de-identified data. Tare may create aggregated or de-identified data that does not identify the Customer, its locations, or any individual, and use it to operate and improve the Service, including industry benchmarks. Customer metrics are only included in industry benchmarks if a Customer administrator turns contribution on.
- Improving Tare's models. Tare may use Customer Data to train and evaluate Tare's own models and matching systems (for example, recognizing products in photos or reading a supplier's invoices). Tare does not allow AI providers to train their general-purpose models on Customer Data.
- Export and deletion. While its subscription is active, the Customer can export reports from the Service and can ask us for a copy of its Customer Data. After the subscription ends, we keep Customer Data for 30 days so the Customer can request an export, then delete or de-identify it within a reasonable period, except where we must keep it by law or for backups that expire on a rolling schedule.
4. AI-Powered Features
The Service uses external artificial intelligence providers, currently OpenAI, Anthropic, and Google (Gemini), or replacement providers, to process content and context you make available to an AI-powered feature. By using those features, you instruct and authorize us to send and process that information as described in our Privacy Policy. Providers, models, functionality, and processing locations may change over time.
Do not submit passwords, full payment card numbers, government identification numbers, health information, biometric information, trade secrets subject to disclosure restrictions, or other highly sensitive information to an AI-powered feature unless the Service expressly asks for it, you are authorized to provide it, and we have agreed in writing to process it where an agreement is required.
You may not use AI-powered features to violate law or anyone's rights; to generate or distribute unlawful, deceptive, harmful, or infringing material; to make prohibited high-impact automated decisions about people; to bypass safeguards; or to develop or train a competing model in violation of an applicable provider restriction.
As between you and Tare, and to the extent permitted by law, you retain your rights in your inputs and own the outputs generated specifically for you, excluding Tare's pre-existing materials and third-party materials. Outputs may not be unique, and other users may receive similar outputs.
AI outputs may be incomplete, inaccurate, or unsuitable for your circumstances. Review outputs and any proposed actions before relying on or approving them. Do not use an AI output as the sole basis for legal, financial, medical, employment, safety-critical, or other decisions that significantly affect a person. You are responsible for your use of outputs and for actions you approve.
5. Integrations and Third-Party Services
The Service can connect to third-party services the Customer chooses, including POS systems (such as Toast and NCR Aloha), accounting software (QuickBooks), supplier email and ordering, and AI assistants connected through the Model Context Protocol (MCP).
- The Customer authorizes Tare to access those services with the credentials and permissions the Customer provides, and to read and write data there as needed to provide the features the Customer uses.
- The Customer is responsible for having the right to connect those services and for complying with their terms.
- Third-party services are not part of the Service. Tare is not responsible for their availability, accuracy, changes to their data or interfaces, or how they handle data under their own terms. If a third party changes or ends its service, the related Tare features may stop working.
- Tare is not a party to the Customer’s agreements with its suppliers, POS provider, or other vendors.
6. Operational Information and Professional Advice
The Service helps the Customer run its operations, but the Customer remains responsible for its business decisions and its records. In particular:
- Estimates. Inventory values, theoretical usage, variance, recipe costs, sales forecasts, prep quantities, suggested orders, research reports, and industry benchmarks are estimates based on the data available. They depend on the accuracy of counts, recipes, POS data, invoices, and other inputs, and are not guarantees.
- Review before it leaves Tare. The Customer is responsible for reviewing invoices and bills before they are approved or posted to accounting software, and purchase orders before they are sent to suppliers.
- Not professional advice. The Service does not provide accounting, tax, legal, or financial advice.
- Employment matters. Labor, shift, schedule, tip, and pay information in the Service is for operational reporting. The Customer is responsible for complying with wage-and-hour, tip, scheduling, recordkeeping, and other employment laws.
- Physical equipment. When using scales, cameras, or other devices with the Service, follow the equipment maker's instructions and safe workplace practices.
7. Acceptable Use
You will not, and will not allow others to:
- Copy, modify, reverse engineer, decompile, or try to extract the source code of the Service, except as law expressly permits
- Access the Service with automated tools (such as scrapers or bots) except through interfaces we provide for that purpose, or exceed published rate limits
- Share accounts or credentials, or give access to anyone who is not an authorized User
- Probe, scan, or test the security of the Service without our written permission
- Interfere with or disrupt the Service, or upload malware or harmful code
- Use the Service to violate law, infringe others’ rights, or send unlawful or unsolicited communications
- Resell, sublicense, or offer the Service to third parties, or use it to build a competing product
If you believe content on the Service infringes your copyright, see "Copyright Complaints" below.
8. Subscriptions, Fees, and Payment
- Plans. Subscriptions are offered on the plans and prices shown at sign-up or in an order form. Fees may depend on the number of locations or the features the Customer selects.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period and the payment method on file is charged at the then-current price, until the Customer cancels.
- Cancellation. The Customer can cancel online at any time in Settings > Billing. Cancellation takes effect at the end of the current billing period, and the Customer keeps access until then.
- Free trials. If the Customer starts a free trial, the paid subscription begins when the trial ends unless the Customer cancels before then. We tell the Customer the trial length and the price when the trial starts.
- Payment. Payments are processed by Stripe. The Customer authorizes us to charge its payment method for all fees when due.
- Taxes. Fees do not include taxes. The Customer pays applicable sales, use, and similar taxes, other than taxes on Tare's income.
- Price changes. We will give at least 30 days' notice before a price change takes effect at the Customer's next renewal.
- Refunds. Fees are non-refundable except as required by law or stated in an order form.
- Late payment. If a payment fails and is not resolved after notice, we may limit or suspend access until it is paid.
9. Term, Suspension, and Termination
These Terms apply for as long as the Customer uses the Service. Either party may end the subscription as described above. We may suspend or end access, with notice where practical, if the Customer or its Users materially breach these Terms, fail to pay, create a security or legal risk, or if required by law.
When a subscription ends, the right to use the Service ends, and Customer Data is handled as described under "Customer Data." Sections that by their nature should survive (including Customer Data obligations, fees owed, disclaimers, limits of liability, indemnification, and governing law) survive termination.
10. Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Customer Data is the Customer's Confidential Information. Each party will use the other's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and share it only with employees, contractors, and service providers who need it and are bound by similar obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information when required by law, after giving notice where legally allowed.
11. Tare’s Intellectual Property and Feedback
Tare and its licensors own the Service, including its software, models, designs, logos, and trademarks. Subject to these Terms and payment of fees, Tare grants the Customer a limited, non-exclusive, non-transferable right for its Users to use the Service for the Customer's internal business purposes during the subscription. You may not use Tare's trademarks without our prior written consent.
If you give us feedback or suggestions, we may use them without restriction, payment, or credit.
12. Disclaimer of Warranties
Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the fullest extent permitted by law, Tare disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, or secure, that data will not be lost, or that results, estimates, or AI outputs will be accurate.
Features we label beta, preview, or early access are offered for evaluation, may change or be withdrawn, and may be less reliable. The mobile application works offline and synchronizes later; information recorded offline is not available to others until it syncs.
13. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, inventory, or goodwill, or loss of data, even if it was told they were possible.
To the fullest extent permitted by law, each party's total liability arising out of or relating to these Terms or the Service will not exceed the fees the Customer paid to Tare for the Service in the 12 months before the event giving rise to the claim.
These limits do not apply to the Customer's payment obligations, a party's indemnification obligations, or liability that cannot be limited by law.
14. Indemnification
By Tare. Tare will defend the Customer against third-party claims that the Service, as provided by Tare, infringes that third party's intellectual property rights, and will pay resulting damages awarded or settlements Tare agrees to. This does not cover claims caused by Customer Data, third-party services, combinations with things Tare did not provide, or use in breach of these Terms.
By the Customer. The Customer will defend Tare against third-party claims arising from Customer Data (including claims that the Customer lacked the right to provide employee or guest data), the Customer's or its Users' use of the Service in breach of these Terms or law, or the Customer's dealings with its employees, guests, and suppliers, and will pay resulting damages awarded or settlements the Customer agrees to.
The party seeking defense must promptly notify the other, give it control of the defense and settlement, and reasonably cooperate. A party may not settle a claim in a way that admits fault by the other without its consent.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to that jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.
16. Mobile App Terms
If you download the Tare app from Apple's App Store, the following also applies:
- These Terms are between you and Tare, not Apple. Tare, not Apple, is responsible for the app and its content.
- Your license to use the app is limited to Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the app’s purchase price, if any. To the extent permitted by law, Apple has no other warranty obligation for the app.
- Tare, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection or privacy claims.
- Tare, not Apple, is responsible for investigating, defending, settling, and discharging any third-party claim that the app or your use of it infringes that third party’s intellectual property rights.
- You confirm that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Use of the app downloaded from Google Play is also subject to Google Play's terms.
17. Copyright Complaints
If you believe content on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act ("DMCA") to support@trytare.com. Your notice must include:
- A description of the copyrighted work you claim has been infringed
- The URL or location of the allegedly infringing content
- Your full name and email address
- A statement that you believe in good faith that the use is not authorized
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them
- Your physical or electronic signature
18. General Terms
- Changes to these Terms. We may update these Terms. We will post the updated version on this page and change the "Last updated" date. For material changes, we will notify the Customer by email or in the Service at least 30 days before they take effect, unless a change is required sooner by law. Continued use after the effective date means the Customer accepts the updated Terms.
- Electronic communications. You agree to receive notices and communications from us electronically, by email or in the Service, and that they satisfy any requirement that communications be in writing.
- Notices. Notices to Tare must be sent to support@trytare.com. Notices to the Customer will be sent to the email address of its account administrator.
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition, or sale of substantially all of its assets, with notice to the other party.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, outages of third-party networks or services, or government action. This does not excuse payment obligations.
- Export and sanctions. You will comply with U.S. export control and sanctions laws in using the Service.
- Independent parties. The parties are independent contractors. These Terms do not create a partnership, agency, or employment relationship.
- Severability and waiver. If any provision is found unenforceable, the rest of these Terms remain in effect. Not enforcing a provision is not a waiver of it.
- Entire agreement. These Terms, the Privacy Policy, and any order form are the entire agreement between the parties about the Service and replace any prior agreements on that subject.
